Welcome to Korpi AI. These Terms of Service ("Terms") govern your access to and use of the Korpi AI platform, including our website, AI-powered video creation tools, and all related services (collectively, the "Services"). Please read these Terms carefully before using the Services.

2. Your Services Provider

The entity providing the Services is Korpi AI Inc., a corporation incorporated under the laws of the Province of Ontario, located at 130 King Street West, Suite 1900, Toronto, Ontario, M5X1E3, Canada (referred to as "Korpi AI," "we," "us," or "our").

3. Description of Service

Korpi AI is an AI-powered platform that enables users to create short-form video content without manual editing. Our Services include, but are not limited to:

• AI-powered script and content generation
• AI voiceover synthesis via third-party providers
• AI image generation for video scenes
• Automated video rendering and assembly
• Background video and music templates
• Campaign automation and scheduling tools
• AI agent-assisted video creation

4. Who May Use the Services

4.1 Age Requirements

You must be at least 16 years old to use the Services. If you are under the age of 18, you represent that you have your parent's or legal guardian's permission to use the Services and that they have agreed to these Terms on your behalf.

4.2 Businesses

If you are using the Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms. You are responsible for all activities that occur under your account credentials.

5. Your Account

To access certain features of the Services, you must create an account. You agree to provide accurate, complete, and current registration information and to keep this information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately if you become aware of any unauthorized use of your account.

You may not share your account with others or transfer it to another person without our prior written consent.

6. Subscriptions and Payment

6.1 Subscription Tiers

We offer multiple subscription tiers with varying features, usage limits, and pricing. Your subscription tier determines the number of AI-generated videos per month, maximum video duration, generation speed, and access to premium features.

6.2 Billing

Subscriptions are billed on a recurring basis (monthly or yearly) at the rate selected at the time of purchase. By selecting a recurring payment plan, you authorize us to charge your payment method on a recurring basis until you cancel. All prices are in USD unless otherwise stated, and you are responsible for any applicable taxes.

6.3 Auto-Renewal

Unless you cancel before the end of your current billing period, your subscription will automatically renew for successive periods of the same duration at the then-current rate. You may cancel auto-renewal at any time through your account settings.

6.4 Refunds

You may request a refund within 1 day of purchase if our core features do not function as described or if you have been unable to generate any videos. To request a refund, contact our support team via the chat widget on the website or through our Discord server. Refunds are not available after the 1-day window or if you have successfully generated videos using the Services.

6.5 Price Changes

We may modify subscription fees at any time. We will provide advance notice of any fee changes. If you have an active subscription, the new pricing will take effect at the start of your next billing cycle. Continued use of the Services after a price change constitutes acceptance of the new fees.

7. Content and Intellectual Property

7.1 Your Content

You retain ownership of all content you create using the Services, including generated videos, scripts, and other output ("Your Content"). You are solely responsible for ensuring that Your Content complies with applicable laws, regulations, and third-party rights.

7.2 License to Korpi AI

By using the Services, you grant us a worldwide, non-exclusive, royalty-free license to store, process, and technically modify Your Content solely for the purpose of providing and improving the Services. This license terminates when you delete Your Content or close your account, except for content that has been shared publicly or with other users.

7.3 Our Intellectual Property

Korpi AI retains all rights, title, and interest in and to the Services, including our AI models, algorithms, software, templates, background media libraries, branding, and platform. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works based on any part of the Services without our prior written consent.

7.4 Restrictions

You may not resell or redistribute our AI models, background templates, or music libraries. Your subscription is for your use only and may not be shared or transferred.

8. Acceptable Use

You agree not to use the Services to:

• Generate content that is illegal, harmful, threatening, defamatory, obscene, or that violates third-party rights
• Infringe on any intellectual property rights, publicity rights, or privacy rights of others
• Attempt to circumvent usage limits, technical measures, or security features
• Use automated tools to scrape, crawl, or extract data from the Services
• Reverse-engineer, decompile, or attempt to discover the source code or underlying algorithms of the Services
• Use output from the Services to develop competing products or services
• Distribute spam, malware, or other malicious content through the Services
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use the Services for any purpose that violates applicable law

A violation of any of the foregoing is grounds for immediate termination of your right to use the Services.

9. Service Availability and Updates

We strive to maintain high availability of the Services but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Services at any time, including adding or removing features, offering new tools, or retiring existing ones.

We will make reasonable efforts to notify you of material changes that would adversely affect your use of the Services, but this is not always practical.

10. Account Suspension and Termination

10.1 Termination by You

You may stop using the Services and close your account at any time through your account settings. If you cancel a paid subscription, you may continue to use the Services until the end of your current billing period.

10.2 Termination by Korpi AI

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms, or for any other reason in our sole discretion. We will attempt to provide advance notice when practicable so you can retrieve your data.

10.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We may delete your account data, including any content associated with your account. Provisions of these Terms that by their nature should survive termination will remain in effect, including intellectual property rights, limitation of liability, and dispute resolution.

11. Data and Privacy

We collect and process your personal data as described in our Privacy Policy. By using the Services, you acknowledge and agree to our data collection and processing practices as outlined therein.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. KORPI AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KORPI AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE THE SERVICES; (B) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (C) ANY THIRD-PARTY CONDUCT ON THE SERVICES; OR (D) ANY OTHER MATTER RELATING TO THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO KORPI AI IN THE TWELVE (12) MONTHS PRECEDING THE APPLICABLE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.

14. Indemnification

You agree to indemnify and hold harmless Korpi AI Inc., its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) any content you create or distribute through the Services.

15. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by posting the revised Terms on our website, sending you an email, or by other reasonable means. The "Effective date" at the top of these Terms indicates when they were last updated. Your continued use of the Services after any changes constitutes acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.

17. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. These Terms constitute the entire agreement between you and Korpi AI regarding the Services and supersede all prior agreements and understandings.

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may freely assign or transfer these Terms without restriction.
